hereby certify that the information provided on this application is truthful and accurate. Contractor understand that providing false or misleading information will be basis for rejection of the application, or, immediate termination should Contractor be retained by the Company to provide services. Contractor acknowledges that simply by submitting this application, the Company is not required to award Contract work as an independent contractor and independent service provider to the Company’s clients. Contractor authorizes the Company to contact any individual or organization named in this application, including former employers, regarding Contractor’s employment, education or other representations made in this application. Contractor authorizes such individuals and organizations to fully and freely communicate information regarding my previous employment (e.g., attendance, performance, etc...). Contractor authorizes those persons designated as references to fully and freely communicate information regarding previous employment and education. Contractor further understand that this application is subject to the following terms and conditions and Contractor’s agreement to the following: Independent Contractor Status: Contractor is completing this application for consideration to be retained as an independent contractor, not as an employee, of the Company, and any services to be performed by Contractor, are those of an independent contractor and not an employee of the Company. As an independent contractor, Contractor is not entitled to worker's compensation, unemployment insurance, or other benefits. Contractor is obligated to pay all federal and state income tax on any moneys paid to Contractor by the Company for services. At Contractor’s request, an IRS Form 1099 or equivalent shall be furnished to Contractor by the Company as proof of earnings for tax purposes. If retained for services, Contractor will perform limited duties in connection with Contractor’s relationship with the Company. Such limited duties may involve providing the services outlined in Paragraph 8 of the Application to clients booked through the Company. Obligations Regarding Services: Contractor agrees that if the Company determines Contractor’s experience and knowledge qualify Contractor to become an independent service provider through the Company that Contractor will honor commitments and appointments when services are booked. If Contractor is confirmed for an appointment or other service, Contractor will show up on time. If for any reason, Contractor cancels or fails to show up for any booked service of appointment, the Company reserves the right to re-book the appointment with another provider, and Contractor shall indemnify the Company for any loss or damages incurred as a result of said cancellation or failure to provide the services. Compensation: Contractor’s Compensation for any services rendered to the Company and its clients by Contractor in the future shall be paid in accordance with a separate agreement with the Company. Notwithstanding anything herein to the contrary, the Company shall be entitled to receive direct payment from clients in consideration of Contractor’s services and to retain a commission or fee therefrom. Such commission or fee may be memorialized in a separate writing between the Company and Contractor. Waiver of Liability: Contractor, for him/her/itself, his/her/its heirs, successors, members, managers, employees, officers, and directors, hereby KNOWINGLY AND INTENTIONALLY WAIVES AND RELEASES, INDEMNIFIES AND HOLDS HARMLESS WOW ASPEN, LLC its directors, officers, agents, contractors, affiliates, managers, subsidiaries, parent companies, employees, volunteers, and their successors, assigns and insurers (collectively, the “Released Parties”) from and against any and all claims, actions, causes of action, liabilities, suits, expenses (including reasonable attorneys' fees) which are related to, arise out of, or are in any way connected with Contractor’s services in any of the above-described services including, but not limited to, NEGLIGENCE of any kind or nature, whether foreseen or unforeseen, arising directly or indi- rectly out of any damage, loss, injury, paralysis, or death to Contractor, Contractor’s property or clients of the Company as a result of Contractor’s providing services as set forth in this Application, whether such damage, loss, or injury, results from negligence of the Released Parties or from some other cause. Contractor, for it/him/herself, it/his/her heirs, directors, officers, agents, contractors, affiliates, managers, subsidiaries, parent companies, employees, volunteers, and their successors, assigns and insurers, further agree not to sue the Released Parties as a result of any injury, paralysis, or death suffered in connection with Contractor’s services of any services as set forth in the Application.
